Terms of Service

Effective July 16, 2026

1. Agreement

These Terms of Service (the "Terms") govern your access to and use of goblackline.com and the Blackline title-workflow service (the "Service"). By creating an account or using the Service, you agree to these Terms and thePrivacy Policy. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes the organization.

2. Eligibility and accounts

You must be legally able to enter into a binding agreement and use the Service for a lawful business or professional purpose. You are responsible for accurate account information, safeguarding credentials, all activity under your account, and promptly notifying Blackline of suspected unauthorized access.

3. Trial and paid access

Unless otherwise stated at signup, a new account may receive a 14-day trial that can process up to 50 documents and includes access to the available workflow and exports. The trial ends when its time period expires or its document-processing limit is reached, whichever occurs first. Blackline may change or discontinue a trial offer for future users.

If paid subscriptions are offered, the applicable price, billing interval, included features, and payment terms will be shown before purchase. Subscriptions renew as disclosed at checkout until canceled. Taxes may apply. Except where required by law or expressly stated at purchase, fees are nonrefundable.

4. Customer content

You retain ownership of documents, records, project information, notes, and other material you submit to the Service ("Customer Content"). You grant Blackline and its service providers a limited, nonexclusive right to host, copy, transmit, transform, analyze, and otherwise process Customer Content only as reasonably necessary to provide, secure, support, and improve the Service and comply with law.

You represent that you have the rights and permissions needed to upload and process Customer Content. You are responsible for determining whether the Service is appropriate for records subject to confidentiality, privacy, contractual, or legal restrictions.

5. Automated processing and professional review

Blackline uses OCR, automated extraction, classification, confidence scoring, and related technology to assist with title workflows. Outputs may contain errors, omissions, incorrect classifications, or incomplete interpretations, including when records are handwritten, damaged, ambiguous, or difficult to read.

Blackline does not provide legal advice, a title opinion, a legal opinion, or a guarantee of ownership, validity, priority, acreage, interest, lease status, or chain completeness. All outputs are drafts and must be independently reviewed and verified by a qualified title professional before reliance or delivery.

6. Acceptable use

You may not:

  • use the Service unlawfully or to violate another person's rights;
  • upload malware, malicious code, or content you lack authority to process;
  • attempt to access another user's account, projects, documents, or systems;
  • interfere with security, availability, rate limits, or technical safeguards;
  • scrape, reverse engineer, or systematically extract the Service except as permitted by law;
  • resell or provide access to the Service except under a written agreement with Blackline; or
  • use automated outputs as a substitute for required professional review.

7. Service ownership

Blackline and its licensors own the Service, software, interfaces, branding, documentation, and related intellectual property, excluding Customer Content. Subject to these Terms, Blackline grants you a limited, revocable, nonexclusive, nontransferable right to use the Service during your authorized access period.

8. Availability and changes

We may update, modify, suspend, or discontinue features, integrations, limits, or the Service. We do not guarantee uninterrupted or error-free operation. Maintenance, provider outages, security events, or circumstances outside our control may affect availability. We will make reasonable efforts to communicate material changes when appropriate.

9. Suspension and termination

You may stop using the Service at any time. Blackline may suspend or terminate access when reasonably necessary to address nonpayment, misuse, security risk, legal requirements, or a material breach of these Terms. Upon termination, your right to use the Service ends. You should export any needed work before account closure. Deletion and retention are governed by the Privacy Policy and applicable law.

10. Third-party services

The Service relies on third-party hosting, database, authentication, email, OCR, AI, analytics, and other providers. Their services may be governed by separate terms. Blackline is not responsible for third-party products or services outside its control.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." Blackline disclaims warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, and any warranty arising from course of dealing or usage of trade. Blackline does not warrant that outputs are complete, accurate, legally sufficient, or suitable for any title determination or transaction.

12. Limitation of liability

To the maximum extent permitted by law, Blackline will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business opportunities, or goodwill arising from or related to the Service. Blackline's aggregate liability for claims arising from the Service will not exceed the greater of the amount you paid Blackline during the three months before the event giving rise to the claim or one hundred U.S. dollars. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Blackline and its personnel from claims, losses, liabilities, and expenses arising from your Customer Content, your misuse of the Service, your violation of these Terms, or your violation of another person's rights.

14. General terms

These Terms and the Privacy Policy form the entire agreement regarding the Service unless a separate written agreement applies. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without Blackline's consent; Blackline may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets.

15. Changes to these Terms

We may update these Terms. We will post the revised version with a new effective date and provide additional notice when required. Material changes apply prospectively. Continued use after revised Terms take effect constitutes acceptance.
